Private Placement Real Estate Funds

Private-placement real estate funds can provide professionally managed exposure to property or real estate credit, but they are unregistered, illiquid, and may provide less disclosure than public investments.

What Regulation D Means

Regulation D provides exemptions from SEC registration. A Form D filing is not SEC approval, and offering documents are generally not reviewed by a regulator. Rule 506(c) offerings may advertise but may sell only to verified accredited investors. Review the SEC Investor.gov bulletin.

Manager and Strategy Review

  • Ownership, experience, disciplinary history, references, and key-person dependence
  • Asset sourcing, underwriting authority, investment limits, leverage, and concentration
  • Loan or property monitoring, valuation, servicing, defaults, workouts, and dispositions
  • Related-party activity, allocation policies, conflicts, and affiliated fees
  • Financial controls, bank and custody arrangements, audits, tax reporting, and cybersecurity

Economics and Liquidity

Model management fees, acquisition or origination fees, servicing, financing costs, carried interest, organizational expenses, reserves, and exit costs. Review transfer restrictions, redemption rights, gates, suspensions, lockups, extensions, and the manager’s ability to hold assets longer than expected.

Verify Claims Against Documents

Distinguish targets from contractual rights and realized history from projections. Reconcile marketing statements with the private placement memorandum, operating agreement, subscription documents, audited or reviewed financial information, and current portfolio reporting.

Review the current offering materials, confirm accredited-investor eligibility, and discuss account compatibility with your custodian and independent advisers before making a decision.
